These Terms govern the use of Durora services accessed via dturora.biz and any related client engagements. By using the site or engaging Durora for legal consulting, you accept these Terms and any engagement letter or service agreement that may be executed. Durora operates under Singapore law and provides services to entrepreneurs and businesses with a focus on practical legal risk management and compliance.

Eligibility to Use Services
Services are available to individuals and entities able to form binding agreements under applicable law. By using Durora you represent that you have the authority to enter into these Terms on behalf of any organisation you represent.
Users must be at least 18 years old to engage Durora services. If acting for an organisation, you confirm you are authorised to bind that organisation.
You agree to use Durora services for lawful purposes only and not to submit content or requests that facilitate illegal activity, infringe rights or violate regulatory requirements.
Durora is based in Singapore and provides services subject to local regulatory constraints. Some services or advice may not be available in other jurisdictions. It is your responsibility to ensure compliance with local law where your business operates.
Account and Access
To access certain features or client portals on dturora.biz you may need to create an account. You are responsible for maintaining accurate account information and for activity that occurs under your credentials.
Provide complete and accurate information when creating an account or submitting engagement details. Inaccurate information may affect our ability to deliver services effectively.
Protect login credentials and enable available security features, including two-factor authentication where provided. Notify Durora promptly of any suspected account compromise.
Accounts and subscriptions are personal to the named user or entity and may not be transferred without Durora's prior written consent.
If you suspect unauthorised access, notify Durora immediately at [email protected] and take steps to secure your account. We will contribute and take reasonable remedial steps within the scope of our technical capabilities.
Durora may suspend accounts for suspected misuse, non-payment, or for security reasons. Where possible, notice will be provided prior to suspension unless urgent action is required.
Services Provided
Durora provides business legal consulting, document review, corporate advisory, regulatory guidance and related professional services to entrepreneurs and companies. Specific service scopes, deliverables and fees are set out in engagement letters or individual service agreements.
Service scope, schedules and deliverables may be amended by agreement in writing. Durora may update features of the online platform; material reductions in service will be communicated to affected clients.
Durora aims to maintain service availability but does not warrant uninterrupted access. Scheduled maintenance and reasonable downtime for updates may occur; clients will be notified where practicable.
User Conduct Rules
When using Durora services you must comply with the following rules to preserve integrity and safety of the platform and client relationships.
- Do not submit false, misleading or fraudulent information when using Durora services.
- Refrain from submitting content that infringes intellectual property rights or contains confidential third-party information without authorisation.
- Do not attempt to gain unauthorised access to Durora systems or disrupt platform operations.
- Comply with applicable export control and sanctions laws when using Durora services and providing information.
- Use professional courtesy in communications with Durora staff and refrain from abusive or harassing conduct.
- Provide required documents and cooperation to enable Durora to deliver contracted services in a timely manner.
- Abide by any additional conduct standards specified in engagement agreements or local regulations.
Client and User Content
You retain ownership of documents and materials you submit to Durora. By submitting content you grant Durora the rights required to provide the services and to operate the platform.
Clients remain owners of original documents and data supplied to Durora. Durora does not claim ownership of client materials provided for the purpose of a paid engagement.
By submitting materials you grant Durora a limited, non-exclusive, worldwide licence to use, store and process the content strictly to perform the agreed services and for internal quality assurance and compliance purposes.
You are responsible for ensuring you have rights to submit materials and that submissions do not infringe third-party rights or applicable law. Durora may refuse to accept materials that appear unlawful or unsafe.
Requests to remove user-submitted content will be handled in accordance with contractual obligations and applicable law. Removal may be subject to retention requirements for legal or regulatory reasons.
Intellectual Property
Durora and its licensors retain all intellectual property rights in the platform, methodologies, templates and materials provided as part of the services, except for client-supplied content. Clients are granted a licence to use deliverables for their internal business purposes as specified in the engagement.
- Do not reproduce or distribute Durora proprietary materials beyond permitted internal use without prior written consent.
- Do not reverse engineer, decompile or attempt to derive underlying source code or algorithms from the Durora platform.
- Respect activity and brand usage guidelines for Durora and affiliated marks; any use requires prior authorisation.
Paid Services
Certain Durora services are provided for a fee. Engagements are governed by an engagement letter or invoice outlining the scope, fees and payment terms.
Pricing is set out in the engagement documentation or on dturora.biz where applicable. Fees reflect the complexity of work and level of advisor expertise required.
Payments are accepted by the methods indicated on invoices or during the checkout process. Payment is due as specified in the engagement letter; late payments may lead to suspension of services.
Subscription services, if offered, will have specified billing cycles and cancellation terms. Subscriptions continue until cancelled in accordance with the subscription terms and this agreement.
Refunds, if applicable, are processed in accordance with the engagement agreement. Refunds may be subject to deductions for work already performed or expenses incurred by Durora prior to termination.
Clients may cancel engagements in accordance with the notice and fees set out in the engagement letter. Durora may also suspend or terminate services for non-payment or material breach.
Clients are responsible for applicable taxes related to services. Durora will charge taxes where required by law and indicate such charges on invoices.
Durora may change prices for services with advance notice for existing clients as specified in ongoing engagement documentation. New engagements will reflect current pricing at the time of contracting.
Non-payment may result in suspension of access to deliverables, withholding of documents and collections actions. Durora retains the right to recover reasonable costs of collection.
Professional Disclaimer
Information provided by Durora on dturora.biz and in initial consultations is for general business-legal guidance tailored to entrepreneurs. Such information does not create an attorney-client relationship unless expressly set out in a written engagement agreement signed by an authorised representative of Durora. For specific legal representation, a formal engagement is required.
Limitation of Liability
To the fullest extent permitted by applicable law, Durora’s liability arising from or in connection with the services is limited to direct damages up to the total fees paid by the client for the services giving rise to the claim. Durora will not be liable for consequential, incidental or indirect losses except where mandatory law requires otherwise.
Third-Party Services and Links
Durora may recommend or use third-party products and services. Any arrangement with a third party is between you and that third party. Durora is not responsible for third-party performance or content and does not endorse or guarantee third-party providers.
Termination
Either party may terminate an engagement in accordance with the termination provisions set out in the relevant engagement letter. Durora may terminate access to the platform or services for breach of these Terms or where continued performance would be unlawful or impracticable.
On termination, outstanding fees become due and Durora may retain copies of client files for legal or compliance reasons. Clients will receive any deliverables specified in the engagement upon settlement of outstanding obligations.
Privacy
Durora handles personal data in accordance with its Privacy Policy. By using Durora services you consent to the collection and processing of personal data as described in the Privacy Policy available at dturora.biz/privacy.
Communications
By engaging Durora you consent to receiving electronic communications, including email and secure messages, in connection with services. Important notices may be provided via email or the client portal.
Changes to Terms
Durora may revise these Terms from time to time. Material changes will be notified by posting an updated version on dturora.biz and, where feasible, by direct communication to affected clients. Continued use of services after changes indicates acceptance of the revised Terms.
Governing Law
These Terms and any disputes arising under them are governed by the laws of Singapore. Parties submit to the exclusive jurisdiction of Singapore courts unless an alternative dispute resolution process is agreed in writing.
Dispute Resolution
Parties will attempt to resolve disputes amicably through good-faith discussions. If unresolved, disputes may be referred to mediation or arbitration in Singapore, or litigated in Singapore courts, depending on the terms of the engagement.
